AbbVie's $10.9B Apogee deal adds zumilokibart and APG273 to its immunology pipeline, with accretion expected to begin in 2032 and 2026 EPS guidance reaffirmed.

AbbVie (NYSE: ABBV) completed its acquisition of Apogee Therapeutics, Inc. (NASDAQ: APGE) on September 3, 2026, paying $135.11 per share in cash for a total equity value of approximately $10.9 billion. The deal adds a late-stage immunology pipeline focused on atopic dermatitis, asthma, and other inflammatory diseases to AbbVie's existing portfolio. AbbVie reaffirmed its full-year 2026 adjusted diluted EPS guidance range of $13.87 to $14.07, inclusive of a $0.14 per share dilutive impact from the acquisition.

Deal Terms

  • Purchase price: $135.11 per share in cash, total equity value approximately $10.9 billion, representing roughly 2.4% of AbbVie's $459.8 billion market capitalization
  • Apogee shares ceased trading on the NASDAQ prior to market open on September 3, 2026
  • EPS dilution: The acquisition is expected to reduce adjusted diluted EPS by $0.14 in 2026 (partial year) and approximately $0.46 in 2027, with accretion beginning in 2032
  • 2026 full-year adjusted diluted EPS guidance: Reaffirmed at $13.87 to $14.07, including the Apogee dilution
  • Q3 2026 adjusted diluted EPS guidance: Reaffirmed at $3.84 to $3.88

Why It Matters

Apogee's lead asset, zumilokibart, is a half-life extended monoclonal antibody targeting IL-13, a cytokine central to type 2 inflammation and diseases such as atopic dermatitis and asthma. In its Phase 2 clinical trial, approximately two-thirds of patients on zumilokibart achieved significant skin clearance at 16 weeks, alongside improvements in itch reduction and overall disease control. Longer-term data from the same trial support maintenance dosing regimens of either quarterly or twice-yearly injections, a convenience profile that AbbVie believes differentiates zumilokibart from existing treatments in the atopic dermatitis market, where a majority of patients do not simultaneously achieve itch and skin improvement under current therapies.

Beyond zumilokibart, Apogee's pipeline includes APG273, a combination candidate pairing zumilokibart with APG333, an antibody targeting thymic stromal lymphopoietin (TSLP), a signaling protein involved in early lung inflammation. Phase 1 data showed APG333 suppressed relevant type 2 inflammatory markers for up to six months after dosing, supporting the APG273 combination's potential in asthma with quarterly or twice-yearly injections. AbbVie also reported separately on September 3, 2026, positive topline outcomes from its Phase 3 CERVINO trial evaluating etentamig, an investigational treatment for relapsed or refractory multiple myeloma, indicating that the company's oncology pipeline continues to advance alongside the new immunology additions from Apogee.

The Apogee transaction deepens AbbVie's immunology position across validated inflammatory pathways, extending beyond its established gastroenterology and rheumatology franchises into dermatology and respiratory indications. The accretion timeline of 2032 reflects the early-to-mid-stage nature of much of Apogee's pipeline, and the $10.9 billion price represents a meaningful balance sheet commitment given AbbVie's total cash position of $6.57 billion and total debt of $70.88 billion.

Wall Street View

AbbVie held a consensus of 22 Buy and 10 Strong Buy recommendations from analysts as of September 1, 2026, with no Sell or Strong Sell ratings among the 39 analysts surveyed. The stock closed at $260.21 on September 3, 2026, a decline of -0.58%, while the S&P 500 gained 1.05% on the same session.

Investor Takeaway

The completion of the Apogee acquisition positions AbbVie to potentially offset longer-term revenue pressure from Humira biosimilar competition, but investors should note that the deal will be dilutive to adjusted diluted EPS through at least 2031, with accretion not expected until 2032. The reaffirmed 2026 guidance range of $13.87 to $14.07 in adjusted diluted EPS, already incorporating the $0.14 Apogee dilution, provides near-term earnings clarity. The strength of the zumilokibart Phase 2 data and the APG273 combination's early profile will be the key clinical milestones to watch as AbbVie works to validate the $10.9 billion investment thesis over the next several years.
