Q3 Fiscal 2026 Results

  • GAAP diluted EPS: $3.65, up 40% year over year; adjusted EPS of $3.49, up 22% year over year.

  • Organic ARR: grew 6% year over year; software ARR grew at a high-single-digit rate year over year.

What Drove the Results

The margin expansion was driven by higher sales volume, favorable mix, and a benefit from the April 1 dissolution of the Sensia joint venture, partially offset by negative price/cost dynamics. Pre-tax margin widened to 20.3% from 16.0% a year ago, and net income attributable to Rockwell rose to $408 million from $295 million in Q3 fiscal 2025.

At the segment level, Software & Control was the standout: sales rose 19% year over year to $751 million, with organic growth of 18%, and segment operating margin expanded to 34.8% from 31.6%. Intelligent Devices posted 12% reported sales growth to $1.1 billion, with organic growth of 10% and margin improvement to 20.0% from 18.8%. Lifecycle Services reported a 12% decline in reported sales to $482 million, reflecting an 11% drag from divestitures; organic sales fell 2%, though segment operating margin improved to 15.1% from 13.3% on project execution discipline and the Sensia dissolution benefit.

CEO Blake Moret cited continued strength in semiconductor, data center, and warehouse automation, as well as improving activity in automotive and life sciences, as the primary demand drivers. The company repurchased approximately 0.3 million shares at a cost of $145 million during the quarter, with roughly $1.2 billion remaining under existing repurchase authorizations as of June 30, 2026.

Updated Fiscal 2026 Guidance

Rockwell raised its full-year fiscal 2026 outlook on both a reported and organic sales growth basis. The updated guidance sets reported and organic sales growth at 7.5% to 9.5%, compared with a prior range of 5% to 9%, implying a reported sales midpoint of approximately $9.0 billion versus the prior midpoint of approximately $8.9 billion. The company raised its diluted EPS guidance to $12.72 to $13.02 from $11.88 to $12.48, and its adjusted EPS guidance to $13.00 to $13.30 from $12.50 to $13.10. Guidance excludes sales, earnings, or cash flows related to the divested Sensia businesses in the second half of fiscal 2026.

Wall Street View

Analyst sentiment on Rockwell heading into the report leaned constructive, with the most recent consensus as of August 1, 2026 comprising 6 Strong Buy, 11 Buy, and 16 Hold recommendations, and no Sell or Strong Sell ratings. Shares fell 7.43% on Tuesday, August 4, while the S&P 500 gained 1.80%, representing a company-specific excess decline of approximately 9.2 percentage points relative to the broader market.

Investor Takeaway

Rockwell's Q3 results reflect broad-based volume growth and meaningful margin leverage, with free cash flow of $654 million and a 22.3% enterprise operating margin both marking year-over-year improvements. The raised full-year guidance narrows the range upward and sets a higher adjusted EPS floor of $13.00, a signal of management confidence heading into the fiscal fourth quarter. The stock's sharp underperformance relative to the S&P 500 on the day of the release, despite the guidance raise, suggests the market may be pricing in concerns about the sustainability of organic growth or the negative price/cost dynamic that partially offset margin gains across all three segments.
